Guidance on converting a Private Limited Company into a charity

Hi,
Could you please help me to find out how to convert Private Limited Company by guarantee without share capital use of 'Limited' exemption into a charity.
It is a school employing volunteers and all the income goes towards expenses.
All ideas and answers are welcome.
