Hi everyone,

I'm working for a small charity which is registered with charity commission but unincorporated.  We currently have both trustees and wider membership as per our constitution.  We would like to convert to a CIO but at the same time would like to remove membership aspect of the organisation and just have trustees (currently very difficult to find members and to get them attend meetings/ vote) so makes some aspects of managing charity challenging.  

My question is do we try and so this at the same time as converting to CIO (so set up a new CIO with a Foundation constitution removing members) and explain this to CC (and of course showing we have member approval etc), or do we set up the new CIO as an association broadly mirroring our current constitution, then once set up as a CIO submit to make the amendments to the constiution to make it foundation?  We'd also like to make amendments to number of  trustees and terms of service etc. 

It would be great to get any thoughts if on we do it as one process (set up new CIO with all changes to constitution and removing membership) or if we convert keeping mostly current constitution then apply to make changes later.
