Our little charity (turnover around £12k) consists of 10 trustees who each serve a term of three years. At the end of their term, the constitution requires them to stand down for at least two years. In June it was announced that our Treasurer would be standing down having served his term. No effort was made between then and the AGM to find a replacement, and now he's returned for his forth year.

I wasn't at the AGM but I doubt anyone even noticed he was staying beyond his term. There has been no announcement saying why he's still in post. Everything is just carrying on as it has been though we do have a new Chair.

I see it as a failing of the trustees who were at the AGM. The Treasurer is in the process of changing career and has been training to be an accountant for the past few years though no one knows if he works in finance. So now I see it as not only a failure of governance but an ethical failure that someone aiming to be a CA is knowingly remaining in post.

But who do I raise this issue with? The new Chair must have known and the other trustees don't seem bothered. And how do I raise it without appearing to be a trouble maker?
